  • Experienced business angels have screened and assessed all deals, which increases your chance of high returns.
  • Due diligence is undertaken by a team of business angels who have an interest or expertise in the industry sector and an understanding of the market and opportunity.
  • The company’s valuation is validated. It is negotiated based on the expert insights of angels. They apply their knowledge regarding the likely growth path of the company.
  • Investor protection terms are negotiated. These may include pre-emption rights, voting rights, tag-along and drag-along rights.

Who can invest with us?

AngelEquity is for wholesale investors who are defined by New Zealand’s FMCA 2013[1] under two common criteria – Eligible or Wealthy / Finance Professionals.

“Eligible” Wholesale Investors

Are defined as investors who have adequate investing experience and knowledge to be able to weigh the risks and merits of an investment opportunity. They have been involved in investing in companies (on a share market or directly in unlisted companies) or more generally in the buying or selling of financial products.

“Wealthy / Finance Professional” Wholesale Investors

In NZ ‘wealthy’ is defined as having $5m in net personal assets (including all entities you control) or having invested $1m or more in a financial product. Professionals working in the finance industry also qualify.

Join AngelEquity?

To join AngelEquity and gain access to our fully prepped, fully qualified, angel-backed deals you need to register and confirm your Wholesale investor status.


  1. Provide name, address and login details
  2. Confirm your wholesale investor status by either:
    • confirming that you are a member of an Angel Group in NZ or
    • providing the name and email address of a referee who can confirm your Wholesale Investor status.
  3. Agree to AngelEquity investor terms.

Once you have completed this process, you will then be able to view basic information on our deals.

Confirmation of Wholesale status

When confirmation of your wholesale status from your referee is received, you will gain full access to all deals and be able to register your interest or investment.

Making your first investment

When you make your first investment on AngelEquity you will need to:

  • Provide an executed Nominee Investor Deed; and a Wholesale Investor Certificate (Eligible or Safe Harbour);
  • Consent to the specific deal documentation (Shareholders Agreement, etc)
  • Deposit investment funds into our trust account
